The decision in focus

An existing loan needs a documented payoff and release process coordinated with the sale. The outstanding statement balance, the actual payoff and proof of release are different closing items.

Obtain the creditor’s actual process

Request a dated payoff quote, validity period, interest treatment, notice requirements, payment instructions and expected release documents. Identify any restrictions or charges in the loan agreement. If aircraft or engines secure other obligations, have the advisers determine the scope. Do not assume that selling one asset automatically releases every interest or that a verbal payoff number is sufficient.

Reconcile recorded interests

Arrange a qualified title review early. The FAA explains that the registration branch does not perform title searches and that recorded documents can include liens and releases. Keep a list of the interests identified, the secured party and required discharge evidence. A historic paid balance should not be treated as proof that a record already contains the appropriate release.

Coordinate funds and documents

Ask the escrow and legal team how sale proceeds, creditor payoff and seller proceeds will be sequenced under written instructions. Independently verify payment instructions using trusted contact channels. Avoid agreeing to release the aircraft or documents based solely on an unverified message that money is on the way; follow the closing process the parties have established.

Allow for changed dates

If closing moves, refresh payoff, accrued interest and any time-sensitive instructions. Include these adjustments in the final seller proceeds estimate. Assign someone to track any post-closing releases and filing evidence, and retain the final closing statement and creditor confirmation. Completing the sale economically and completing the required documentation should both have an accountable owner.

Illustrative seller scenario

Illustrative only: an assumed payoff is $2 million on the planned close date, while a later closing creates additional accrued interest under the contract. A seller proceeds worksheet must use the updated payoff. The older statement balance remains a historical reference, and the title adviser still needs the appropriate release evidence for the transaction.
