The decision in focus

Use written closing instructions that account for buyer, seller, lender and existing creditor requirements. Escrow coordination supports a transaction; it does not eliminate the need for legal, title and technical diligence.

Define the engagement and participants

Confirm the escrow provider, services, fees, document handling and communication contacts. Identify buyer, seller, lender, existing lienholder and authorized representatives. AOPA describes escrow as a neutral funds-and-documents role. Ask what the particular provider actually does and does not cover rather than assuming an escrow engagement is also an appraisal, legal opinion or technical acceptance.

Specify conditions for release

Have advisers align purchase obligations, aircraft acceptance, lender conditions, title requirements, payoff and insurance with the escrow instructions. Avoid inconsistent triggers across documents. Funds being present is not necessarily the same as authority to disburse them, and unsigned or incomplete documents can remain a separate dependency.

Protect communications and payment verification

Use independently confirmed contact information for wiring verification and material instruction changes. Establish how the team authenticates a revised account or new recipient. Keep sensitive financial records in appropriate channels. A convincing email or an apparent change from a familiar sender should not silently override the agreed verification process.

Close the record as well as the transaction

Retain the final funds statement, executed documents, confirmations and open post-closing items. Name who tracks releases or filings still pending and when completion will be reported. If the closing date changes, ask which instructions, payoff amounts and insurance evidence need updating. The process should leave each party able to understand what occurred and what remains.

Illustrative seller scenario

Illustrative only: buyer funds arrive but the existing creditor's release conditions have not been confirmed. The escrow team should follow the agreed instructions and resolve that dependency with the relevant advisers; arrival of money alone does not establish that all conditions for transfer and disbursement are satisfied.
