Read the actual guarantee and related loan documents before evaluating exposure. An ownership percentage or the aircraft’s value alone does not define a guarantor’s obligations.
Identify who owes what
Separate borrower obligations from guarantees and collateral pledges. Ask counsel to identify whether a guarantee is limited or continuing, what obligations it covers and how enforcement, expenses and amendments are treated. Do not infer that a minority owner guarantees only a matching percentage or that the lender must first exhaust the aircraft collateral.
Understand the ownership arrangement
AOPA's original LLC discussion illustrates that member and guarantee requirements can be lender-specific. Request the proposed lender's rules and legal documents rather than importing another provider's member limits or approval thresholds. Explain passive investors, managers and beneficial ownership early enough for the structure to be evaluated before closing pressure develops.
Compare exposure alongside price
A lower rate or down payment should not be evaluated separately from guarantee scope, security and covenants. Prepare a comparison showing who signs, what is pledged, reporting obligations, release conditions and the effects of ownership changes. Ask how an aircraft sale, refinancing or member departure actually releases each obligation.
Protect relationships through clarity
Have the owners address contributions, defaults, usage, exits and dispute resolution with their advisers. A private agreement among owners may not change obligations to the lender. Keep realistic liquidity for a member's absence or sale delay, and avoid a financing decision that depends on every owner having identical priorities indefinitely.
Illustrative decision worksheet
Illustrative only: two members each own half of an aircraft entity. Their economic sharing arrangement does not establish a 50% cap on either guarantee. Obtain legal review of the actual language and any release process. Compare the whole obligation rather than recording half the loan as each member's exposure merely for convenience.
