Choose and document the owner, borrower and operator before closing. Forming an entity does not itself establish registration eligibility, eliminate guarantees or create favorable tax treatment.
Map the parties
Write down the legal owner, borrower, guarantors, manager and operator, together with the reason for each role. Ask counsel to review the structure under the relevant rules. A new entity may own an aircraft but lack operating history, so explain the repayment source without assuming that the entity label answers the lender's credit questions.
Prepare governance evidence
Request the lender's organization-document list and reconcile formation records, good standing, operating agreement, tax identification, ownership and authorized signers. AOPA's original discussion identifies governance and ownership alignment as practical lending issues. Its process is provider-specific, so obtain the actual requirements for the proposed transaction rather than copying them as universal rules.
Align identity across documents
The purchase agreement, bill of sale, registration application, security documents and insurance should use the correct legal names and capacities. Ask the title and legal advisers to reconcile inconsistencies before signing. Last-minute entity substitution can create fresh review, document and timing questions even if beneficial owners stay the same.
Budget continuing obligations
Include entity administration, accounting, legal review and relevant tax filings in ownership planning. Ask advisers about California connections and actual use instead of assuming out-of-state formation resolves California obligations. Document how ownership changes, member exits or a sale will be handled while debt remains outstanding.
Illustrative decision worksheet
Illustrative only: an individual receives a financing indication, then proposes a newly formed holding company as owner and borrower. Before updating the purchase agreement, ask the lender and advisers to confirm entity documentation, guarantees, registration eligibility and insurance. The earlier individual discussion does not automatically authorize the revised structure.
