The decision in focus

An aircraft-owning LLC can create ongoing filing, annual tax and administrative obligations. Evaluate those costs with the actual ownership and operating structure.

Distinguish formation from operation

A state filing establishes an entity but does not complete the aircraft ownership plan. The buyer still needs registration eligibility, loan approval, insurance and a legally appropriate operating arrangement. Decide who maintains company records, receives notices and authorizes transactions. Professional fees and recurring compliance should appear in the annual ownership budget rather than being treated as one small formation charge at closing.

Check California filing obligations

FTB guidance describes annual tax and filing requirements for relevant LLCs doing business or organized in California, including an annual tax and possible fee. The current2026 voucher identifies an $800 annual tax for covered LLCs. Exceptions and classification require review; the historical first-year exemption for specified2021 through2023 tax years should not be assumed to apply to a newly formed2026 entity. Confirm the exact obligations with the preparer.

Do not promise out-of-state avoidance

An entity formed elsewhere can still have California questions based on ownership, actual activities and aircraft use. Regulation 1620 also addresses closely held entities with California-resident owners for its acquisition-tax presumption. A formation-service marketing claim is not a tax analysis. Obtain advice describing why the structure fits the mission and which federal, California and other-state filings will be needed.

Maintain a clear annual responsibility list

Assign entity returns, tax payments, statement updates, registered-agent matters and relevant FAA changes. Keep bank, aircraft and entity records consistent. Revisit the arrangement when members, management or operating use changes. If the entity is wound down after a sale, ask what formal cancellation and final returns are required; simply having no aircraft or no revenue does not necessarily end all filing duties.

A practical planning exercise

Illustrative annual budget: include adviser-confirmed entity tax, accounting, registered-agent and administration costs as separate fixed expenses. Keep aircraft property tax and sales/use tax on their own rows; one entity-cost allowance should not silently replace them.

Your next-step checklist

  • Confirm entity classification.
  • Identify annual taxes and fees.
  • Assign filing responsibilities.
  • Review changes and final cancellation.
