Understand the actual allocation of condition and representation risk.
Classify the assurance
Identify whether a statement appears only in the advertisement, in a broker email, as a seller representation in the agreement or in a separate service or program contract. Ask counsel to explain its effect and any exclusions, survival or remedy language. Do not describe as-is as a universal answer to every legal question, or assume a seller's reassuring phrase creates an enforceable warranty.
Keep technical acceptance independent
Have the inspector review the aircraft and records under the agreed scope even where representations exist. A warranty may address remedies rather than prevent downtime, expense or disputes. Determine which findings must be corrected before delivery and which the buyer knowingly accepts. Obtain actual program or repair-warranty confirmation from the relevant provider rather than assume it transfers with the aircraft.
Use an illustrative assurance mismatch
A fictional advertisement says all systems fully operational, while the executed agreement excludes a disclosed component and provides different acceptance terms. The buyer should resolve the discrepancy before signing and ensure the technical scope covers the equipment that matters. A website cannot decide which statement controls in a specific dispute. The lesson is to align written expectations rather than rely on the most favorable isolated phrase.
Price accepted risk transparently
Document unresolved or accepted items and include realistic cash and downtime assumptions in the ownership budget. If a negotiated credit covers future work, do not also treat the repair as completed when comparing values. Retain the final representations, technical report and separate coverage evidence. Have counsel explain notice procedures and deadlines for any post-closing claim, rather than assume a discovery automatically creates recovery rights.
Working document to prepare
Create an assurance register with the exact statement, document location, person making it, subject, exclusion and counsel's interpretation of its effect. Link each material condition claim to technical evidence without promising that either automatically establishes a legal remedy. Record provider coverage separately from seller representations. At closing, retain the final agreement and accepted limitations so the owner can distinguish what was promised, verified, excluded or knowingly left uncertain.
Your next-step checklist
- Identify where each assurance appears.
- Have counsel explain exclusions and survival.
- Verify provider coverage and transfer.
- Budget accepted work and downtime consistently.
