Resolve seller debt and related title conditions without assuming a balance statement clears title.
Obtain the actual payoff requirements
Have escrow, the title provider and counsel determine the current payoff evidence and release documents required for the transaction. Confirm the obligor, secured party, aircraft and relevant components. A historical balance statement may omit accrued interest, fees or timing conditions. Do not treat a seller's instruction to pay a lender as sufficient proof of the payment destination or title consequence.
Align the payoff with the closing date
Identify the payoff's validity period, daily accrual where applicable, wire cutoff and required release process. Ask who obtains an updated figure if closing moves. The release and registry work should follow the professional team's agreed sequence. The buyer should not improvise a payoff or a release form merely because a closing date is approaching.
Work an illustrative reconciliation
A fictional payoff of $1.2 million valid through Friday with $250 daily accrual would change if the agreed closing timing requires additional days under its terms. If three days apply, the illustrative amount becomes $1,200,750 before any separate fees. The actual payoff letter determines the calculation. That amount is a use of the seller's proceeds, not an extra aircraft purchase price for the buyer unless the contract says otherwise.
Retain proof without overclaiming
Reconcile the final closing statement with the verified payoff and agreed seller proceeds. Retain payment confirmation and the professional evidence of release or submission. A paid wire alone does not establish that every relevant interest has been discharged. Ask the title professional and counsel to confirm the condition under their scope, including related International Registry work where applicable.
Working document to prepare
Use a payoff sheet with creditor identity, asset references, validity date, accrual terms, verified instructions, required releases and actual disbursement. Let the responsible title professional or counsel confirm the connection between payment and release. Add a dated recalculation after a closing change and preserve supporting evidence. Keep the payoff out of the buyer's incremental-cost column when it is already paid from the agreed purchase price; classify any exception explicitly.
Your next-step checklist
- Get current payoff and release instructions.
- Check validity and accrual terms.
- Update amounts after date changes.
- Reconcile payment and release evidence.
