The decision in focus

Confirm the acquiring entity, authority and registration requirements before document preparation.

Resolve identity early

Ask aviation counsel and the tax adviser to evaluate the proposed owner and operating arrangement, including registration eligibility and authority to sign. A seller, lender and escrow provider need the same full legal identity. Do not create an entity solely from a generic claim that aircraft ownership through an LLC guarantees privacy, liability protection or tax savings. Those results depend on specific facts and implementation.

Reconcile the documents

The FAA bill of sale instructions require the purchaser name to match the registration applicant. Compare the agreement, bill of sale, loan documents, insurance, escrow instructions and entity authorization. Confirm signer's capacity and any required supporting evidence. A minor-looking abbreviation or a last-minute entity substitution can create a documentary issue that needs professional correction rather than an informal handwritten workaround.

Work an illustrative late change

Suppose the original buyer is an individual, but two days before closing the buyer asks to acquire through a new company. The change may require lender, insurer, title and counsel review; it is not merely a replacement name on one form. Recheck funding and deadlines before treating the original approval and documents as transferable. The example does not imply that any lender must accept the new owner.

Separate ownership from operation

Ask who will exercise operational control and how the aircraft will actually be used. Registration identity, borrower identity and operator arrangements can raise distinct requirements. Retain the verified entity and authority package with the closing file, and use a qualified secure channel for sensitive ownership information. Keep county basing and California tax documentation aligned with the actual structure.

Working document to prepare

Use a name-and-authority reconciliation sheet showing the full purchaser name, borrower, insured parties, registry applicant, signers and approved capacities across each document. Identify any justified difference for counsel to explain. Track formation or authority evidence and lender approval where required. If an entity changes, reopen the affected checklist items deliberately rather than carrying forward the previous green status and assuming every approval or document remains applicable.

Your next-step checklist

  • Confirm eligibility and signer authority.
  • Use the same full legal name throughout.
  • Reapprove material entity changes.
  • Review ownership and operating control separately.
